New LLC Formation

Standard LLC & PLLC Publishing

What Is the LLC/PLLC Publishing Requirement?

In New York, newly formed LLCs, PLLCs, and LPs must publish a legal notice—with specific wording and details—once a week for six consecutive weeks in two newspapers designated by the County Clerk of their principal business location.

These notices must be followed by:

  1. Collecting affidavits of publication from each newspaper.
  2. Filing a Certificate of Publication along with those affidavits and the $50 filing fee with the New York Department of State — all within 120 days of the entity’s formation or, for foreign entities, its qualification in New York.

Failing to complete publication within the deadline results in suspension of the entity’s authority to conduct business in New York, potentially affecting its legal standing.

PLLC Formation

LLC & PLLC Flat-Fee Publishing

What Is Flat‑Fee Publishing?

We offer a streamlined solution by leveraging our Albany office. This lets us satisfy New York’s six-week publication requirement legally and cost-effectively in Albany County, where newspaper rates are significantly lower than in metro areas like New York City.

Once the six-week run is complete, you have the flexibility to update the county where your business will maintain an address by filing a Certificate of Change—no repeat publishing required. The publication mandate applies only once in your entity’s lifetime, so address changes don’t have subsequent publishing obligations.

Benefits of partnering with Publish My LLC:

Significant Cost Savings
We use our Albany office address so your LLC can publish in Albany County — one of the most affordable counties in New York for publication. Clients often save hundreds compared to publishing in NYC or surrounding counties.

All-Inclusive, Transparent Pricing
Our $395 flat fee includes everything: newspaper placement, affidavit handling, state filing fees, and expedited processing. No hidden charges — ever.

Trusted Experience Since 2011 – We’ve helped thousands of clients complete publishing in Albany County — with a 100% success rate in filing with the Department of State.

PLLC Formation

Limited Liability Company (LLC) Formation

What is an LLC?

A Limited Liability Company (LLC) is a hybrid business structure that blends the liability protection of a corporation with the operational flexibility of a partnership or sole proprietorship. In New York, LLCs offer several key advantages:

  • Limited personal liability—members (owners) are shielded from most business debts and lawsuits, helping protect personal assets like homes and savings.
  • Pass-through taxation—profits and losses flow directly to members’ individual tax returns, avoiding double taxation unless taxed as a corporation.
  • Flexible structure—LLCs can have unlimited members, appoint managers or be member‑managed, and customize internal operations through an operating agreement.
  • Simpler administration—no need for annual shareholder meetings, board resolutions, or complex corporate records, making it easier and faster to maintain than a corporation

Steps to Forming Your NY LLC

  1. Choose a Name – Must be unique and include “LLC.”
  2. Designate a Registered Agent – Typically the NY Secretary of State.
  3. File Articles of Organization – Officially forms your LLC.
  4. Adopt an Operating Agreement – Required within 90 days.
  5. Get an EIN – Needed for taxes, hiring, and banking.
  6. Complete Publishing Requirement – Two newspapers for 6 weeks, then file a Certificate of Publication.
  7. Stay Compliant – File biennial statements and meet local requirements.

Professional Limited Liability Company (PLLC) Formation

What Is a PLLC?

If you’re starting a professional practice—like a medical clinic, law firm, or therapy office—you’ll need a Professional Limited Liability Company (PLLC) rather than a standard LLC. In New York State, the Department of Education’s Office of the Professions reviews your credentials and issues a Certificate of Authority before you can officially form your PLLC. This ensures that only licensed professionals can practice through such entities, and that all shareholders comply with the regulations governing your profession

Steps to Forming Your NY PLLC

  1. Confirm Eligibility
Ensure all members are licensed professionals in the intended field.
  2. Obtain Name Approval
Choose a compliant name ending in “PLLC” and verify availability with the Department of State.
  3. Get Certificate of Authority
Submit required forms and license verification to the NYS Department of Education (NYSED) for approval.
  4. File Articles of Organization
Once approved by NYSED, file your formation documents with the Department of State.
  5. Send Certified Copy to NYSED
Obtain a certified copy of your filing and submit it back to the Department of Education.
  6. Adopt an Operating Agreement
Create a written agreement outlining ownership, management, and duties.
  7. Satisfy Publishing Requirement
Publish formation details in two newspapers and file a Certificate of Publication.
  8. Apply for EIN & Stay Compliant
Get an EIN from the IRS and fulfill all ongoing state and professional requirements.
